1. Who We Are & Acceptance of Terms

SoundNativ ("SoundNativ," "we," "us," or "the Service") is operated by SHELBY TECHNOLOGIES SRL, a company registered in Romania, with its registered office at Strada Nerva Traian nr. 27-33, Sector 3, București, Romania, tax identification number [CUI] and trade register number [Nr. Registrul Comerțului]. These Terms of Service govern your use of our website at soundnativ.com and our mobile applications for iOS and Android.

By creating an account, starting a free trial, purchasing a subscription, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

You must be at least 16 years old to use the Service. If you are under the age of majority where you live, you may only use the Service with the involvement of a parent or legal guardian who agrees to these Terms on your behalf.

2. Description of the Service

SoundNativ is an English pronunciation training service. You record short audio clips of yourself speaking target words and phrases; our speech analysis engine transcribes and scores those recordings and returns pronunciation feedback, progress tracking, and a personalized training plan.

The Service is available through our website and our mobile applications. Some features require an active paid subscription. We may add, change, or remove features over time.

3. Accounts

You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Provide accurate information when registering, and let us know promptly at [email protected] if you believe your account has been accessed without your authorization.

Accounts are for individual use. Do not share, sell, or transfer your account or subscription to anyone else.

4. Voice Recordings & How We Use Them

The Service works by recording your voice. By using pronunciation exercises, you consent to us capturing short audio recordings through your device's microphone and processing them to generate transcripts, pronunciation scores, and feedback. This processing happens on our servers and involves automated speech recognition.

We retain your recordings for up to 30 days so that we can measure and improve scoring accuracy, after which they are automatically deleted from our storage. Your scores and progress history are kept for as long as your account is active so that the Service can track your improvement over time.

You keep ownership of your recordings. You grant us a limited licence to store and process them solely to operate and improve the Service as described above and in our Privacy Policy. You can request deletion of your account and associated recordings at any time by emailing [email protected].

Only record your own voice. Do not record other people without their knowledge and consent, and do not record content that is unlawful or that you do not have the right to submit.

5. Free Trials

Some plans begin with a free trial. When you start a free trial we collect and securely store your payment method, but we do not charge it during the trial period.

Unless you cancel before the trial ends, your trial will automatically convert into a paid subscription and we will charge your payment method the then-current subscription price, and again on each renewal date thereafter.

Before you confirm, we show you the length of the trial, the exact date of your first charge, and the amount you will be charged. The same details are available at any time in your account settings. You may cancel at any point before the trial ends at no cost, from your account settings or by emailing [email protected]. Cancelling during a trial ends your access when the trial period expires.

Free trials are limited to one per person. We may withdraw or modify trial offers, or decline to offer a trial, at our discretion.

6. Subscriptions, Billing & Cancellation

Paid subscriptions are billed in advance on a recurring basis — monthly, quarterly, or annually, depending on the plan you choose. Subscriptions renew automatically at the end of each billing period until you cancel. Charges appear on your statement as SOUNDNATIV.

You may cancel at any time from your account settings or by emailing [email protected]. Cancellation stops future renewals and takes effect at the end of the billing period you have already paid for; you keep access until then. We do not pro-rate partial billing periods, except where required by law or under our refund policy in section 7.

Purchases through the app stores. If you subscribe through the Apple App Store or Google Play, your subscription is billed by that store under its own terms. You must manage and cancel those subscriptions through your Apple or Google account settings — we cannot cancel them for you, and cancelling in our app will not stop store billing.

Price changes. We may change subscription prices. If we do, we will give you at least 30 days' notice by email before the new price applies to your renewal, and you may cancel before then if you do not wish to continue. Price changes never apply retroactively to a period you have already paid for.

Failed payments. If a payment fails we may retry it and may suspend access to paid features until payment succeeds.

Taxes. Prices are shown in the currency indicated at checkout. Where value added tax, goods and services tax, or a similar sales tax applies to your purchase based on your country of residence, it is calculated and shown before you confirm, and is included in the total charged to you.

7. Refunds & Right of Withdrawal

We offer a 14-day full refund, no questions asked, on any charge billed directly by SoundNativ, anywhere in the world. Email [email protected] within 14 days of the charge and we will refund it in full. You do not need to give a reason.

This includes the first charge after a free trial. If you did not realise your trial was converting, contact us — we would much rather refund you directly than have you raise it with your bank.

Purchases through the app stores. Subscriptions purchased through the Apple App Store or Google Play are billed by those stores, and refunds for them must be requested through Apple or Google under their respective policies. We are not able to process those refunds on your behalf, though we are happy to help you find the right form.

Statutory right of withdrawal (EU/EEA consumers). If you are a consumer resident in the European Union or European Economic Area, you have a statutory right to withdraw from a distance contract within 14 days of entering into it, without giving any reason. To exercise it, tell us clearly — an email to [email protected] saying you wish to withdraw is enough. We will reimburse you within 14 days of being informed, using the same payment method you used originally.

Because the Service is digital content and online services supplied immediately, you are asked at checkout to expressly request immediate performance and to acknowledge that you lose your right of withdrawal once the Service has been fully performed. Where you have consented to this, the statutory withdrawal right may no longer apply — but our own 14-day refund policy above still does, and it applies to every charge including renewals, not only to the start of your subscription.

Nothing in this section limits any refund or remedy you are entitled to under consumer protection law where you live. See section 12.

8. Legacy Early Access & Founding Member Purchases

SoundNativ previously sold early access and founding member packages before general launch. If you purchased one of these, it is not a recurring subscription: it does not auto-renew, and you retain the access you purchased at the price you paid, on the terms that applied at the time of purchase. These packages are no longer offered to new customers.

9. Acceptable Use

When using the Service, you agree not to:

  • Use the Service for any unlawful purpose, or in breach of these Terms
  • Share your account, or resell or redistribute access to the Service
  • Copy, scrape, or extract our lesson content, audio, or scoring output for use outside the Service
  • Attempt to reverse engineer, probe, or circumvent the technical or access controls of the Service
  • Interfere with the Service's operation, or place unreasonable load on our infrastructure through automated means
  • Upload recordings of other people without their consent, or any content that is unlawful, abusive, or infringing

10. Suspension & Termination

You may stop using the Service and delete your account at any time by emailing [email protected].

We may suspend or terminate your access if you materially breach these Terms — including the acceptable use rules in section 9 — or where required by law. We may also suspend access to paid features where a payment has been reversed, charged back, or remains unpaid.

Except in cases of serious or repeated breach, we will give you notice and a reasonable opportunity to put things right first. If we terminate your account without cause, we will refund the unused portion of any subscription period you have paid for.

11. Intellectual Property

All content, features, and functionality of SoundNativ — including lesson material, native speaker audio, scoring models, software, and branding — are owned by us or our licensors and protected by intellectual property laws. Your subscription grants you a personal, non-transferable, non-exclusive licence to use the Service for your own language learning. It does not transfer ownership of anything.

Your own voice recordings remain yours, as set out in section 4.

12. Your Consumer Rights

Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy you have under consumer protection law that cannot lawfully be excluded. Where such a right applies, it operates alongside these Terms, and these Terms are read as subject to it.

For consumers in the European Union and European Economic Area, your rights under EU consumer law — including the conformity guarantees for digital content and services, and the right of withdrawal described in section 7 — apply in full and are unaffected by these Terms. For consumers in Australia, our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For consumers in the United Kingdom and other regions with mandatory consumer protections, the same principle applies.

13. Disclaimers

Subject to section 12, the Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, error-free, or free from inaccuracy.

Pronunciation scoring is automated and approximate. Scores and feedback are generated by speech recognition and scoring models that can and do make mistakes, particularly with background noise, unusual microphones, or accents the models handle less well. Scores are a practice aid, not an authoritative assessment of your speech.

We do not guarantee learning outcomes. Progress in pronunciation depends on individual practice, starting point, native language, and many other factors outside our control. Nothing in our marketing or in the Service is a promise of any particular result.

14. Limitation of Liability

Subject to section 12, and to the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages, or for loss of profits, data, or goodwill, arising from your use of or inability to use the Service.

Subject to section 12, and to the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) the resupply of the Service.

15. Changes to These Terms

We may update these Terms from time to time. For minor changes we will update the "Last Updated" date above. For changes that materially affect your rights — including changes to pricing structure, billing, refunds, or how we handle your recordings — we will give you at least 30 days' notice by email before they take effect.

If you do not accept a material change, you may cancel your subscription before it takes effect and we will refund any unused portion of the period you have paid for. Continuing to use the Service after a change takes effect means you accept the updated Terms.

16. Governing Law & Disputes

These Terms are governed by the laws of Romania, without regard to conflict of law principles. Subject to section 12, the courts of Romania have jurisdiction over any dispute arising from these Terms.

If you are a consumer, this does not deprive you of the protection of mandatory consumer law in your country of residence. Consumers resident in the European Union may bring proceedings in the courts of their own country of domicile.

Consumer complaints. Consumers in Romania may also refer complaints to the National Authority for Consumer Protection (Autoritatea Națională pentru Protecția Consumatorilor, ANPC), anpc.ro. Consumers elsewhere in the EU may contact their national consumer protection authority or an approved alternative dispute resolution body.

Talk to us first. If something has gone wrong — including an unexpected charge — please email [email protected] before escalating. Most billing issues are resolved the same day, and our refund policy in section 7 covers the first 14 days unconditionally.

17. General

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and us regarding the Service. We may transfer our rights and obligations under these Terms to another entity, for example in a merger or acquisition; your rights under these Terms will not be reduced as a result.
